Payment Terms

All invoices issued by Wintrans are payable in accordance with the agreed credit terms set at account opening, or as stated on the invoice. Standard payment terms are as follows:

  • Freight charges for NVOCC shipments are payable in full prior to Bill of Lading release unless a credit account has been approved in writing.
  • Ship agency disbursements must be settled within 7 calendar days of final port disbursement account (PDA) issuance.
  • Approved credit clients must settle invoices within 30 days of invoice date unless otherwise agreed.
  • Late payments will attract a default interest charge of 2% per month on overdue balances, compounding monthly.

  • Payments must be made in LKR or USD as specified in the invoice. Currency conversion rates are applied at the date of invoice.
  • Bank transfer charges and intermediary fees are the responsibility of the Client. Payments must be received net of all banking charges.

Disputed invoices must be raised in writing within 5 business days of receipt. Failure to dispute within this window constitutes acceptance of the invoice amount.

Section 06

Liability & Limitations

Wintrans acts as an agent or NVOCC intermediary. Our liability is expressly limited and does not extend to losses caused by third-party carriers, port authorities, weather events, or force majeure circumstances.

To the maximum extent permitted by applicable law, Wintrans's total aggregate liability to any Client in respect of any claim or series of related claims shall not exceed the lesser of:

  • The value of the freight or agency fees paid by the Client for the specific shipment or service giving rise to the claim; or
  • USD 2.00 per kilogram of cargo affected (in accordance with standard NVOCC limitation conventions).

Wintrans shall not be liable for any indirect, consequential, special, or punitive damages including but not limited to loss of profit, loss of business, or loss of anticipated savings, even if Wintrans was advised of the possibility of such damages.

Force Majeure: Wintrans shall not be in breach of these Terms and shall have no liability for any failure or delay in performing obligations due to circumstances beyond its reasonable control, including acts of God, war, terrorism, pandemic, port congestion, government embargo, industrial action, or vessel breakdown.

  • Cargo insurance is the sole responsibility of the Client unless explicitly arranged by Wintrans under a separate written instruction.
  • Wintrans does not accept liability for loss or damage arising from insufficient packaging or incorrect cargo declarations made by the Client.
  • Claims for cargo loss or damage must be submitted in writing within 3 days of delivery (visible damage) or 7 days of delivery (concealed damage).
Section 07

Cargo & Documentation

The Client is solely responsible for ensuring the accuracy of all cargo declarations, shipping instructions, and supporting documentation provided to Wintrans. Any errors, omissions, or misrepresentations in shipping instructions are the Client's liability.

  • Shipping instructions must be received by the cut-off date communicated by Wintrans. Late instructions may result in the cargo missing the vessel, for which Wintrans bears no responsibility.
  • Bill of Lading amendments after issuance are subject to a handling fee and carrier approval. Amendments after vessel departure may not be possible.
  • Dangerous goods must be declared in full accordance with the IMDG Code. Wintrans reserves the right to refuse any undeclared or incorrectly declared dangerous cargo.
  • Original Bills of Lading are held by Wintrans until full freight payment is received unless a letter of undertaking has been accepted.
  • The Client warrants that all export and import licences, permits, and certificates required for the cargo have been obtained prior to shipment.

Wintrans complies with Sri Lanka Customs, the Sri Lanka Ports Authority (SLPA), and all applicable IMO regulations. The Client must ensure all cargo complies with destination country regulations and import standards.
